Professional Experience

Licensed to practice of Law in Mexico graduated by the Autonomous University of Ciudad Juarez (Universidad Autonoma de Ciudad Juarez), in 1997, he holds American Law legal assistant studies (Paralegal) by the University of Texas at El Paso; broad legal experience in the following areas:REAL ESTATE: Preparing and negotiating letters of intent, contracts and agreements, including industrial, commercial and residential leases, conditional purchase and sale agreements, purchase and sale deeds, trusts, acquisition of former agrarian land, guaranty trusts, joint-ventures, development, construction, mortgage, and other related contracts. Preparing title opinions; structure, negotiation and execution of all types of real estate transactions, including counseling regarding developing, financing, purchasing, leasing, transferring, investing, as well as, drafting and negotiating of real estate investments trusts, real estate guarantees or any other operations involving real estate. CORPORATE AND COMPLIANCE: Counseling and advising foreign companies doing business in Mexico; mergers & acquisitions; formation of legal entities, including private financial companies (SOFOM, ENR); handling and drafting shareholders’ meetings; opening of companies with IMMEX authorization (manufacturing companies), branches, representative offices and permanent establishments; changing of corporate name and/or structures; drafting of articles of incorporation and powers of attorney; dissolution, liquidation, spin-off and reorganization procedures. Advising companies in compliance with applicable laws, regulations and ordinances; establish sanctions to personnel in the event of non-compliance with laws, standards or procedures established by the company and coordinate response from prevention department of several clients. BANKING AND FINANCE: Counseling companies on complex finance matters; counseling service in banking legislation, including financial structuring, trusts, closing of operations, debt restructuring and structure of project financing, as well as financial leasing of equipment, loans, international operations, international leasing. Drafting all kind of financial documents and required collateral, such as, credit agreements, promissory notes, pledge agreements, bond agreements; structuring loans of foreign and local banks, negotiating all kind of financial transactions. Provide legal opinions. ANTITRUST: Counseling private entities in structuring industrial and commercial activities, acquisitions, sale transactions, mergers and consolidations of entities. Provide counsel on practices of price control; drafting and preparation of compliance handbooks. Negotiate with the Antitrust Agency, draft the required petitions and follow procedures related to monopolistic practices as well as with the imposition of sanctions. INTELLECTUAL PROPERTY: Obtaining and registering trademarks, commercial names and patents; structure and negotiate technical assistance to franchises, and drafting of required license, confidentiality and similar agreements to protect and regulate the use of confidential information of clients. ENERGY: Preparing, developing, establishing and enforcing legal strategies to comply with the corporate purposes of several clients in the field of generation of energy. Providing legal counsel to develop energy projects in Mexico, such as, auto-generation, co-generation, independent production to generate energy and small production of energy. Negotiation and drafting of all legal documents required for the development of energy projects. Draft specific agreements, such as, concessions, confidentiality, letters of intention, joint venture, supply, among others. Draft legal opinions with respect to specific energy projects. Gather and prepare files in order to obtain concessions in accordance with the applicable laws and regulations. Obtain permits, approvals and authorizations required for energy projects. Coordinate compliance of applicable energy laws, rules and regulations. Mr. Tellez-Berkowitz has contributed and participated in several seminars regarding various topics of law, both within the country and internationally and he is currently a member of the Real Estate Committee of the National Association of Company Lawyers-Chihuahua Section (ANADE).
